Section 5: Organisational Design


5.1 Design Philosophy

Simpaisa operates a hybrid organisational model that combines centralised functional excellence with distributed geographic accountability. This structure has been deliberately chosen to address the inherent tension in cross-border payments: the need for consistent, scalable technology and control functions on one hand, and the need for deep local regulatory knowledge and market responsiveness on the other.

Functional global teams - covering Technology, Finance, Information Security, Compliance, Product, and Strategy - are structured centrally and operate across all markets. This approach drives economies of scale in high-cost capability areas, ensures consistent standards (particularly critical in regulated domains such as information security and financial crime compliance), and prevents the duplication of specialised talent across geographies. A single engineering organisation, for example, builds and maintains the core platform that serves Pakistan, Bangladesh, Nepal, Iraq, and the UAE simultaneously, with incremental effort required to onboard each new corridor.

Geographic P&L ownership sits with Country Heads, who are accountable for commercial performance, regulatory relationships, operational execution, and in-market partnerships within their respective jurisdictions. This preserves the agility and local knowledge that cross-border payments demands: each corridor operates under a distinct regulatory regime, with its own licensing requirements, central bank reporting obligations, foreign exchange controls, and agent network dynamics. Country Heads have the authority and proximity to navigate these environments effectively, whilst drawing on the shared services and infrastructure provided by the functional centres.

The model is held together at the executive level by an Executive Leadership Team spanning the CEO's ten direct reports - functional chiefs (CDO, CFO, CRO, CSNO, COO, Country Head Pakistan) and domain or geographic leads (Country Heads, Global Head of Regulatory Affairs, Payment Channel Partnerships) - plus the CDO's three direct reports (CPO, CISO, CTO) who participate as full ELT members, ensuring that strategic decisions integrate the platform-scale and market-specific perspectives.

As Simpaisa expands into Saudi Arabia, broader MENA, and Central Asia, this hybrid model is designed to absorb new corridors without requiring structural reorganisation. New geographies are expected to follow a standard onboarding pattern: a Country Head is appointed, local regulatory and compliance requirements are mapped, and the existing technology and operations platform is extended to serve the new market. The functional backbone scales horizontally; the geographic layer scales vertically by market.

5.4.2 Scaling Model

Current state. At approximately 180 employees across all functions and in-country operations, Simpaisa has grown substantially and is now operating at a scale that places meaningful demands on management infrastructure, governance, and operational coordination. The technology organisation - at 38 people - remains the single largest functional concentration, reflecting the platform-first nature of the business. The COO organisation (22 people) and CPO organisation (17 people) represent significant operational and product depth. The CISO organisation, at 13 people, provides round-the-clock NOC/SOC coverage and security assurance appropriate to a regulated financial services operator.

Near-term scaling pressures (12–18 months). The planned expansion into Saudi Arabia and broader MENA markets will place the most immediate demand on three functions: Regulatory Affairs (additional licensing and compliance resource per new jurisdiction), Technology Pay-Ins and Pay-Outs (corridor-specific integration work), and Geographic Leadership (Country Head and in-country operational teams). The CTO organisation should also expect to backfill the open Portal developer position and assess whether the Pay-Ins team (currently the smallest engineering sub-team at six people) has sufficient capacity to support simultaneous corridor expansion.

Structural scaling principles. The hybrid model supports a deliberate sequencing: functional central teams scale first to establish the platform and control infrastructure; geographic teams are added as market entry proceeds. This avoids the cost and governance risk of premature in-country build-out. As individual markets mature - defined here as achieving regulatory licence, a stable operational run-rate, and corridor profitability - Country Head organisations may expand to include locally embedded product, compliance, and finance personnel, with dotted-line relationships maintained to the respective functional heads at group level.

Span of control. The introduction of the CDO role (effective April 2026) has materially improved executive span management. The CEO's direct reports have reduced from thirteen to ten (with CPO, CISO, and CTO now reporting to the CDO). This creates headroom for the CEO to absorb additional Country Heads as Saudi Arabia and Central Asia market entry progresses. The CDO carries three direct reports at C-suite level, which is appropriate given the integrated digital mandate. As the organisation scales towards 250 employees and beyond, consideration should be given to whether any additional grouping of geographic leads under the COO or a dedicated Regional President role is warranted to maintain effective executive oversight.

Technology capacity model. Engineering sub-teams currently range from two (Architecture) to nine (DevOps and Infrastructure). The recommended minimum viable team size for a product-facing engineering sub-team is five to seven engineers, with a lead and a development manager. Pay-Ins is currently at the lower end of this range and should be prioritised for growth hiring ahead of new corridor activations. Architecture, as a governance and standards function rather than a delivery team, is appropriately sized at two but may require a third member as the number of distinct market integrations increases.
